Generalterms and conditions of Meet Tuesday

I.         Definitions

 

1.      “General Terms and Conditions”: These general termsand conditions.

2.      “Meet Tuesday”: Workspot Millennium toren B.V. (MeetTuesday is a concept of Workspot Millennium toren B.V.) Contact details: Weena690 -23st floor, 3012CN Rotterdam, the Netherlands

3.      “You” or “Client”: The natural or legalperson with whom Meet Tuesday has an agreement and to whom these general termsand conditions apply. In these general terms and conditions, this also includesthe natural or legal person who requests a quote from Meet Tuesday.

4.      “Guest” or “Guests”: The person whoactually visits/will visit Meeting Centre Meet Tuesday, whether or not due toor at the invitation of the Client.

5.      “Parties”: Meet Tuesday and the Client.

6.      “Room”: One or more of the rooms that can bebooked by clients at Meet Tuesday. All rooms are situated on the 23rd floorof the Millennium tower (Weena 690) in Rotterdam.

7.     “Meeting Centre Meet Tuesday”: The entirety of rooms,with the associated traffic areas and other areas.

8.      “Catering”: Services consisting of meal services andsimilar services, whether or not based on a standard package offered by MeetTuesday.

9.      “Quote”: A quote drawn up by Meet Tuesday inresponse to a request in which the (intended) Client makes a proposal for bookinga Room and/or Catering. These General Terms and Conditions apply to the Quote.

10.   “Stay”: The use of a Room in response to abooking during a certain (agreed) time slot, including any extension.

11.   “Host”: A Meet Tuesday employee.

12.   “House Rules” Rules relating to the Stay and presence in MeetingCentre Meet Tuesday of you as the Client and of Guest(s).

 

II.         Booking a Room at MeetTuesday

 

1.     Booking a Room: It is possible to book aroom at Meet Tuesday by:

a.     booking online via Meet Tuesday’s websiteor via a third-party (online) platform; or

b.     requesting a quote from Meet Tuesday, andthe acceptance of this quote by the Client.

 

2.     Through the booking an agreement isconcluded between the Parties, to which these General Terms and Conditionsapply.

 

3.     Online bookings: If you book a Room through an onlinebooking platform, you pay the cost of the booking directly through the onlinebooking platform and the booking is made immediately.

 

4.     Booking via a Quote: If you request a Quote, the Room will bereserved for you at the desired time. Meet Tuesday will then send you a Quoteby email. The Quote will state the period for which it is valid. You will thenbe given the opportunity to accept the Quote via Meet Tuesday's secure digitalenvironment, unless otherwise specified by Meet Tuesday.

 

                                            

5.     After (the period of validity of) theQuote has expired, the reservation expires and Meet Tuesday is free to allocatethe Room to another party without notifying you.

 

6.     If you accept a Quote after its validityperiod has expired, Meet Tuesday is free to reject or still accept the bookingat its discretion.

 

7.     Meet Tuesday is always entitled to requirea deposit.

 

 

III.         Booking of Catering

 

1.     Meet Tuesday offers you the option ofusing Catering during your Stay. An order to provide Catering (the order) isestablished by:

 

a.     Ordering Catering when booking the Roomonline.

b.     When the Quote - in addition to bookingthe Room - also relates to ordering Catering, and you have accepted this Quote.

c.     When you request a separate Quote forCatering, and you have accepted the Quote sent by Meet Tuesday.

 

2.      Online order when booking the Room: Ifyou book a Room online and also order Catering, you pay directly via the onlinebooking platform and the order is placed immediately. When placing an onlineorder, it is only possible to choose from the standard packages offered there.You must specify how many Guests will be present for whom the Catering is to beprovided; the amount payable is based on the number of people specified. Pleasenote that passing on dietary requirements via the online booking platform isnot possible. You must communicate any dietary requirements directly to MeetTuesday.

 

3.      Ordering via a Room Quote: If you requesta quote and indicate that you want to order Catering, Meet Tuesday will includean offer for Catering in its Quote. After accepting the Quote, the order isplaced.

 

4.     Orders via a separate Quote: You canrequest Meet Tuesday - after booking a Room - to provide Catering. Meet Tuesdaycan refuse or accept this request. If Meet Tuesday accepts the request, it willsend you a Quote containing an offer for Catering. After accepting the Quote,the order is placed.

 

5.     Meet Tuesday is always entitled to requirea deposit.

 

6.     In your request, you must take intoaccount the number of Guests you expect during the Stay. You must also pass onany dietary requirements to Meet Tuesday with your request for Catering. TheCatering offer included by Meet Tuesday in a Quote is based on the expectednumber of Guests specified by the Client and the dietary requirements specifiedby the Client.

 

7.     If, at the time of requesting a Quote, youdo not know how many Guests will be present, you can request Meet Tuesday toinclude a provisional sum in the Quote with an amount per invitee. If the Quoteincludes a provisional sum, you must provide the final number of Guests nolater than 14 days before the Stay, unless stated otherwise in the Quote. Inthis case, Meet Tuesday may require a (provisional) deposit.

 

8.     If - after ordering Catering - you expectfewer Guests, the cancellation provisions for Catering (see below) shall applyaccordingly, with the understanding that any refunds will be made pro rata tothe number of fewer Guests. By way of illustration: if you ordered Catering for12 people, but you indicate in time that only 9 will attend, the costs (lessany cancellation charges) for these 3 Guests will be deducted or refunded.

 

9.     If, after ordering Catering, you wish tochange your order - for example, because you expect more Guests, orunexpectedly have different (dietary) requirements - you can request MeetTuesday to issue an amended or additional Quote. You understand that MeetTuesday uses external suppliers for the Catering, and it will therefore notalways be possible to meet your wishes, especially if the desired changes arecommunicated at short notice before the Stay.

 

10.  All prices for Catering - as stated on the online booking platform or inan Offer - are quoted in Euros and are exclusive of VAT.

 

11.  The Client is expressly prohibited from consuming their own refreshments(food and drink) at Meeting Centre Meet Tuesday.

 

IV.         General provisionsrelating to Quotes

 

1.     Meet Tuesday is at all times entitled torefuse to issue a Quote in response to a request for a quote. Meet Tuesday willinform the Client of the refusal. In that case, no booking will be made.

 

2.     Meet Tuesday reserves the right to shortenthe validity period of an issued Quote to 24 hours from the moment the Clienthas been informed of this. If Meet Tuesday does not receive an acceptance ofthe Quote within these 24 hours, the booking will expire and Meet Tuesday willhave the right to cancel the booking and allocate the Room to another party.

 

3.     If a Quote is requested and/or accepted,or an online booking is made, on behalf of a legal entity, or a partnership, ora comparable legal entity, the (natural) person who performs the aforementionedact hereby declares to Meet Tuesday that he or she is fully authorised toperform the aforementioned actions on behalf of the Client. If it turns out (inretrospect) that he or she was not authorised to perform the aforementionedacts, he or she is personally liable for the damage/loss suffered by MeetTuesday as a result.

 

4.     If your wishes give rise to customisation,for example in the form of a Quote based on subsequent costing, then theprovisions of these General Terms and Conditions may be deviated from. In thatcase, any deviations from these General Terms and Conditions will be includedin the Quote. By accepting the Quote, the deviating conditions contained insuch become part of the agreement between the Parties.

 

V.         Cancellation at MeetTuesday

                                                                                              

1.     After booking a Room and/or orderingCatering, a binding agreement is concluded between the Parties. The Client canonly cancel the booking and/or the order subject to the following provisions.

 

2.     If you wish to cancel, the cancellationmust be communicated to Meet Tuesday by email. Cancellation is per Stay, evenif the booking covers several (non-consecutive) Stays. (You must specify whichStay you wish to cancel.)

 

3.     You will owe the following fixedcancellation charges to Meet Tuesday according to the graduated scale below:

 

·       Cancellation more than 2 months before thefirst day of the Stay:

No charges.

·       Cancellation between 2 months and 1 monthbefore the first day of the Stay:

25% of the total agreed cost, less anydeposit.

·       Cancellation between 30 days and 14 daysbefore the first day of the Stay:

50% of the total agreed cost, less anydeposit.

·       Cancellation between 14 days and 0 daysbefore the first day of the Stay:

100% of the total agreed cost, less anydeposit.

 

4.     The stated cancellation charges arecharged (separately) over the agreed costs for both booking a Room and orderingCatering.

 

5.     Meet Tuesday uses the services of thirdparties to provide Catering. If these third parties charge Meet Tuesday costsin connection with the cancellation of the Catering, and these costs exceed theamount due on the basis of the aforementioned graduated scale, Meet Tuesdaywill pass this on to you one-on-one with a surcharge of 5% for administrationcosts. In this case you are obliged to pay these additional cancellationcharges to Meet Tuesday.

 

6.     If you have already paid for the bookingof the Room and/or the Catering order, the part already paid, minus thecancellation charges, will be refunded to you on the account from which thepayment was made. If you have not yet paid, but you do owe cancellationcharges, you will receive an invoice for this by email.

 

VI.         Payments

 

1.     Room bookings and Catering orders via anonline booking platform are paid in the manner specified.

 

2.     Payments for the Stay and/or Catering willtake place on the basis of subsequent invoicing, with the exception of anydeposit.

 

3.     Workspot's banking details are:

4.     All payments must be made in Euros.

 

5.     Other amounts owed by the Client to MeetTuesday under the agreement (including cancellation charges) must also be paidinto the aforementioned account number.

 

6.     If your Room booking or Catering order ismade on the basis of a Quote, the Quote may include certain provisional sums.For example, a fixed price per person for catering, when you have indicatedthat the number of people expected is still uncertain. As soon as you haveconfirmed the final number of Guests in accordance with Article III.6 of theseGeneral Terms and Conditions, the final price will be determined, unless statedotherwise in the Quote.

 

7.     Payment of each invoice (whether sentdigitally or not) must be made no later than 14 days after the invoice date,unless otherwise stated in the invoice. If payment is made after the paymentterm, Meet Tuesday is entitled to interest of 2.0% per month, to be increased,at the discretion of Meet Tuesday, by the statutory commercial interest rate.In addition, the Client is fully liable for any collection and legal feesincurred.

 

8.     If Meet Tuesday's banking details change,we will notify you by email. If you receive such a notification, we recommendthat you contact your Sales contact at Meet Tuesday by telephone to confirm theauthenticity of this message before making the payment.

 

9.     If (extra) costs have to be paid at thelocation of Meet Tuesday, we accept Maestro, VISA and MASTERCARD. No cashpayments are accepted within Meet Tuesday.

 

VII.         Meeting Centre MeetTuesday House Rules

 

1.      Meet Tuesday can establish House Rules.If available, these House Rules can be consulted on the Meet Tuesday websiteand on site at Meeting Centre Meet Tuesday. If Meet Tuesday has establishedHouse Rules, they form an inseparable part of these General Terms andConditions.

2.      In addition to any House Rules, thefollowing rules apply in any case:

a.      During the stay at Meeting Centre MeetTuesday, Guests are obliged to follow instructions from the Host / Meet Tuesdayat all times.

b.      Guests may not cause noise or othernuisance, leave waste at Meeting Centre Meet Tuesday or soil it in any otherway.

c.       Guests treat others in a respectfulmanner.

d.      Guests may not make film recordings (or have them made) in MeetingCentre Meet Tuesday without prior permission from the Host / Meet Tuesday.

e.      Guests may not make sound recordings (orhave them made) in Meet Tuesday without prior permission fromthe Host / Meet Tuesday, with the exception of sound recordings in the Room whichare recorded with the door(s) closed.

f.       Guests can use flex spaces, break-outrooms and the bar, where available. Meet Tuesday cannot guarantee theavailability of these rooms during your Stay.

g.       Guests can use coffee/tea/water in MeetTuesday's lounge during their Stay.

h.       Any (other) refreshments are availablefrom the Host. The Host can inform you / Guest on request about the selection,prices and payment terms.

i.       The Client is expressly prohibited fromconsuming their own refreshments (food and drink) at Meeting Centre MeetTuesday.

 

VIII.         Use of the Room duringyour Stay

 

1.      Meet Tuesday has the right to release thebooked Room once the time slot of your Stay has expired. If for any reason yourmeeting runs into overtime and you wish to extend your Stay, Meet Tuesday mayallow this up to a maximum of half an hour before the next reservation of theRoom by a third party, or up to 21:00 on the same day. Extending the length ofStay is possible only on the basis of availability and approval of MeetTuesday.

If your Stay isextended, Meet Tuesday will charge an additional fee.  Thesecosts are separate from the previously quoted rate for the Room and will becalculated at the time of extension.

2.     Meet Tuesday is entitled to includeadditional rules regarding the use of the Room in its House Rules. Therefore,please consult the House Rules before your Stay.

 

 

IX.         Liability of the Client

 

1.     The Client is liable for any damage thathe or the Guest(s) present on his behalf cause to the Room or other areasbelonging to or at Meeting Centre Meet Tuesday, or the building to whichMeeting Centre Meet Tuesday belongs (the Millennium Tower).

2.     Damage includes soiling beyond normal use(crumbs, coffee stains on the table, etc.).

 

X.         Liability of MeetTuesday

 

1.     Meet Tuesday is not liable or responsiblefor the loss of or damage to personal property on location.

2.     To the extent permitted under applicablelaw, Meet Tuesday shall not be liable for any loss or other damage/lossresulting from Meet Tuesday's failure to provide a service due to technicalfailure, force majeure, strike or termination of the rental agreement betweenMeet Tuesday and the owner of the building in which Meeting Centre Meet Tuesdayis located.

3.     The Client expressly and specificallywaives any right to compensation and undertakes not to submit any claim forcompensation for direct, indirect, exemplary, special or consequentialdamage/loss, including but not limited to loss of trade, turnover, profit orloss of data arising for any reason whatsoever from or in connection with theagreement between the Parties, any shortcoming in the services provided on thebasis thereof, any error or negligence in that connection, any shortcoming ofany third parties engaged for the Catering or any interruption of service byMeet Tuesday.

 

XI.         Force majeure

 

1.      Meet Tuesday is - in addition to what isstipulated in the previous article X - never liable for any damage suffered bythe Client or Guest, in the event that Meet Tuesday cannot reasonably perform(in the broadest sense of the word) any agreement, commitment or any otherobligation due to an unforeseen circumstance or force majeure situation. Insuch cases, the Client and/or Guest may also never take action against MeetTuesday - in or out of court - for compliance with that agreement, commitmentor any other obligation. Finally, the Client is not entitled to cancel,withhold or suspend payment in the event the Stay cannot take place as a resultof a government-imposed forced closure of Meeting Centre Meet Tuesday.

 

XII.         Privacy

 

1.     Meet Tuesday processes personal data withdue observance of the applicable privacy legislation.

 

XIII.         Applicable law andcompetent court

 

1.      A booking for a Room concluded betweenthe Parties does not qualify as a rental agreement within the meaning of Book7, Title 4 of the Dutch Civil Code.

2.      Meet Tuesday is entitled to unilaterallychange these General Terms and Conditions. In the event of changes, MeetTuesday will notify the Client of these changes. There will be at least onemonth between the notification and the entry into force of the amendedconditions.

3.      The agreement(s) concluded between theParties, of which these General Terms and Conditions form an inseparable part,shall be governed by Dutch law.

4.      The competent court to take cognisance of any disputes arising from theperformance of the agreement(s) in force between the Parties shall - unlessrules of mandatory law provide otherwise - be exclusively settled by thecompetent court of the District Court of Rotterdam, hearing location Rotterdam.
